"Teach Me Now" is the trading name of TMN.

1.4.By using the Site and its services You confirm that You have read and understood these Terms of Use and You agree to be bound by them and by all applicable laws and regulations governing the Site and its services. These Terms of Use form a legally binding agreement between You and TMN in relation to Your use of the Site and/or the services and applies to all users of the services whether or not registered on the Site and who may be contributors of User Content (as defined in paragraph 5) posted on the Site. If You do not agree to these Terms of Use, You must not use the Site or its services. You are also responsible for ensuring that all persons who access the Site and services through Your internet connection, computer and/or device are aware of the Terms of Use, and that they comply with them. If You violate these Terms of Use, TMN reserves the right to terminate Your use of the Site and the services, bar You from future use of the Site and services, and/or take appropriate legal action against You.

Any activities performed using your account shall be attributed to you. l)not to (or attempt to) circumvent, disable or otherwise interfere with any security related features of the Site and/or services or features that (i) prevent or restrict use or copying of User Content or Proprietary Content (as defined in paragraph 8.1); or, (ii) enforce limitations on the use of the services, the User Content or Proprietary Content accessible via the service;

m)not to (nor attempt to) gain unauthorised access to any part or component of the Site, content and/or services, the server on which the Site is stored or any server, computer or database connected to the Site;

n)not to use the Site and/or services to input, copy, host, transmit, send, use, publish, upload and/or distribute any material that consists of (or is linked to) any spyware, malware, computer viruses, Trojan horses, worms, keystroke logger, rootkit time bombs or other computer programming routines that are intended to damage, interfere with, intercept and/or expropriate any system or this Site. q)not to post, share or otherwise make available content containing information that is confidential to any other person, including but not limited to financial information (such as account, credit or debit card details) or information which identifies an individual personally or is capable of identifying an individual personally (such as names, phone numbers, email addresses or postal addresses);

r)not to post, frame, deep link, publish, reverse engineer or modify or make any derivative works of any part of or parts of the Site and/or services, including but not limited to any User Content or Proprietary Content, in any medium without TMN's prior written authorisation, unless TMN makes available the means for such activity through functionality offered by the services;

s)not to alter or modify any part of the Site and/or services or use the same in any way which is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity;

t)not to access User Content or Proprietary Content through any technology or means other than the Site itself or such other means as TMN may explicitly designate for this purpose;

u)to respect information You obtain on our Site and use it only in accordance with the Terms of Use;

v)save as permitted by these Terms of Use, not to advertise, promote or endorse any goods or services, send or otherwise post unauthorised commercial communications to users (such as spam);

w)not use our Site to send any chain letters, junk mail, 'spamming' material or any other form of bulk communication; and

x)not to use any area of the Site or the services for any commercial purposes other than provision of mentoring and educational services on the Site pursuant to the Terms of Use. You must obtain our prior written consent to make commercial offers of any kind, whether by advertising, marketing, solicitations, links, or any other form of communication. We will investigate and take appropriate legal action against anyone who breaches this provision, including without limitation, removing the offending communication from the Site and barring anyone breaching this provision from future use of the Site and services.

3.4.Although TMN cannot monitor the conduct of users off the Site, it is a violation of these Terms of Use to use any information obtained from this Site in order to harass, abuse, or harm another person, or in order to contact, advertise to, solicit or sell to any user without their prior explicit consent, whether on the Site or off the Site.

3.5.We may investigate any potential or reported breach of these Terms of Use or complaints and take any action that we deem appropriate. With respect to any person who is known or reasonably believed to be (or is associated with any person who is known or reasonably believed to be) acting unlawfully, or breaching these Terms of Use, or infringing TMN’s rights, we reserve the right to, without limitation, remove any of Your information or User Content, issue warnings, suspend, restrict or block access to this Site and/or services, and/or cancel a reservation in respect of one or more pre-booked sessions. Breaching any Terms of the Site will be deemed to be a breach of the Terms of Use.

3.6.You are encouraged to notify TMN of any user behaviour that violates the Terms of Use. If you wish to notify TMN about content uploaded by or the behaviour of other users, please contact us immediately.

4. USER-GENERATED CONTENT AND PROHIBITED CONTENT

4.1.This Site includes functionality to enable users to upload documents or share information, materials, content, articles and posts on the Site ("User Content"). User Content is not verified by us and the views expressed by users on our Site do not represent our views or values or constitute a recommendation, endorsement or guarantee by us in any way. We shall not be responsible or liable for any User Content published on the Site or for the consequences of the use of it by You or others.

4.2.You confirm that in relation to any User Content submitted by You to the Site, You have the right to submit such User Content and have obtained all necessary licences and/or approvals to do so. o)breaches paragraphs 3.3 b), d), e), g), n), q), w) or x).

4.8.You are encouraged to notify TMN of any User Content that violates the Terms of Use. If you wish to notify TMN about User Content uploaded by other users, please contact us immediately.

5. LINKS TO OTHER SITES

5.1.Our Site may also contains links to other third party sites, platforms, resources, and partners. If You choose to access any of these links, You will be leaving our Site. TMN does not endorse or have control over such sites, nor does TMN accept any responsibility or liability for the content, advertising and information contained on such sites and cannot therefore guarantee, represent or warrant that the content contained in the sites is accurate, legal and/or inoffensive or that these sites will not contain viruses or otherwise impact Your device(s). By using the Site to search for or link to another site, You agree and understand that You may not make any claim against TMN for any damages or losses, whatsoever, resulting from Your use of the Site to link to another site. They are for things like signing up or logging in to your account, adding credits to your wallet, scheduling a session and completing questionnaires to help us improve our service to You. 9. SUSPENSION AND TERMINATION

You also agree that TMN will not be liable to You for any loss caused by termination or suspension of Your access to the Site and/or services.

9.3.You agree that monetary damages may not provide a sufficient remedy to TMN for violations of the Terms of Use and You consent to injunctive or other equitable relief for such violations.

10. YOUR WARRANTIES

10.1.You represent and warrant to TMN that:

a)You have (and will continue to have whilst the User Content remains posted on the Site) all necessary licences, rights, consents, and permissions which are required to enable TMN to use or display Your User Content in the manner contemplated by these Terms of Use;

b)You are happy to share Your User Content with other users who access and/or register on the Site to the extent required for the services to be delivered as intended;

c)You will not post nor upload any User Content which contains material which is unlawful for You to possess, or which it would be unlawful for TMN to use or possess in connection with the provision of the services;

d)the User Content that You submit to the Site will not contain any third party copyright material, or material that is subject to other third party proprietary rights (including rights of privacy or rights of publicity), unless You have a formal licence or permission from the rightful owner, or are otherwise legally entitled, to post the material in question, and that You grant TMN the licence referred to in paragraph 10.1a) above;

e)You will comply in at all times with the Terms of Use; and

f)You will keep Your TMN login details secure and confidential.

11. LIABILITY

11.1.TMN does not warrant the validity and accuracy of information on the Site or services or that the Site is kept up-to-date. The Site and its contents and the services are delivered on an "as-is" and "as-available" basis.

11.2.Although we make reasonable efforts in the preparation of the Site, due to the nature of the internet, we make no representations, warranties or guarantees, whether express or implied, that:

a)Your use of the Site and/or the services will be uninterrupted, timely, secure or free from errors, bugs, malware, viruses, contamination or other destructive features at all times;

b)the Site will provide specific results from use of the Site or any content, search or link on it;

c)Your use of the services will meet Your requirements;

d)any information obtained or downloaded by You as a result of Your use of the services will be accurate, up to date, or reliable or free of malware, viruses, contamination or destructive features (and any reliance placed on the content is entirely at your own risk);

In the event that You have a claim against another user of the Site arising out of that user’s use of the Site or the content on the Site, You agree to pursue such right, claim or action independently of and without recourse to us.

11.4.We do not exclude or limit in any way our liability to You where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence and for fraud or fraudulent misrepresentation.

11.5.TMN shall not be liable to You in contract, tort (including negligence) or otherwise for:

a)any consequential, special or incidental loss or damage (whether direct or indirect) or, anticipated profits, business, data, opportunity, revenue, goodwill, or reputation suffered by You arising from Your use of the Site and/or the services or;

b)any loss or damage which may be incurred by You as a result of:

11.6.If You are a consumer, please note that we only provide our Site and/or services for personal use. You agree not to use our Site for any commercial or business purposes, and we have no liability to You for any loss of profit, loss of business, business interruption, or loss of business opportunity. We will also not be liable for damage that You could have avoided by following our advice to apply an update offered to You free of charge or for damage that was caused by You failing to correctly follow installation instructions or to have in place the minimum system requirements advised by us.

11.7.If You are not a consumer, we exclude all implied conditions, warranties, representations or other terms that may apply to our Site, and any content within it, and our services. We will not be liable to You for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with the use of, or inability to use, our Site and/or services, or use of or reliance on any content displayed on our Site. In particular, we will not be liable for loss of profits, sales, business, or revenue; business interruption; loss of anticipated savings; loss of business opportunity, goodwill or reputation; or any indirect or consequential loss or damage.

11.8.The limitations on TMN’s liability to You in this paragraph 11 shall apply whether or not TMN has been advised of or should have been aware of the possibility of any such losses arising. Except as expressly set out in the Terms of Use, to the fullest extent permitted under applicable laws, TMN gives no warranties and excludes all other express or implied terms, conditions and warranties including any implied warranties of merchantability and fitness for a particular purpose to the fullest extent permitted by law.

12. INDEMNITY

12.1.You agree that You are solely responsible for any breach of Your obligations under Terms of Use and for the consequences of any such breach.

12.2.You agree to indemnify and hold TMN and its affiliate companies, and each of their respective officers, directors, shareholders, employees, representatives and agents, harmless from any loss, liability, claim or demand, including without limitation legal fees, incurred by or asserted against TMN, arising out of or in connection with:

a)Your use of the Site and/or services and its content;

b)any breach (or suspected breach) of the Terms of Use or breach of warranty by You or by Your acts or omissions;

c)any breach (or suspected breach) of applicable laws or rights of third parties;

d)any claim by a third party arising out of Your use of the Site and/or services or by Your acts or omissions, including without limitation Your use of the Site and/or services to provide a link to another site or to upload User Content or other information to the Site (unless You have the formal licence or permissions to do so as described in these Terms of Use); and

e)Your unauthorized use, creation (and modification) of a session on or off the Site.

13. DISPUTES

13.1.Where You are a Student or a Student's Sponsor, any disputes or legal proceedings between us shall be resolved in accordance with Your Customer Terms & Conditions. Where You are a Mentor, any disputes or legal proceedings between us shall be resolved in accordance with Your Mentor Terms & Conditions. Where You are a third party provider, any disputes or legal proceedings between us shall be resolved in accordance with Your Third Party Provider Agreement. Where none of the above apply to You, You agree that these Terms of Use and any dispute or claim in relation to them (including non-contractual disputes or claims) are governed by English law and we each agree to submit to the exclusive jurisdiction of the Dubai International Financial Centre courts.

13.2.We always recommend that You seek local legal advice, however please speak to us first if You have any concerns to see if they can be resolved.

14. GENERAL

14.1.If any of these terms are deemed invalid or unenforceable for any reason, then the remaining terms will continue to apply.

14.2.The Terms of Use shall be personal to You and You may not assign, transfer, subcontract, or delegate all or any of Your rights or obligations without TMN’s prior written consent. TMN may freely assign, transfer, subcontract, delegate and otherwise deal with all or any of its rights and obligations under the Terms of Use.

14.3.Failure by either TMN or You to exercise or enforce any right conferred shall not be deemed to be a waiver of any such right nor operate so as to bar that exercise or enforcement thereof or of any other right on any later occasion.

14.4.The Terms of Use do not create any right enforceable by any person who is not a party to them.

15. SANCTIONS

15.1.TMN shall NOT be required to deal with or provide any services to any person that would result in breach by TMN of any of its sanctions obligations.
